ANTITRUST AND PROTECTION OF COMPETITION
In Kalaidjiev, Georgiev & Minchev we are often involved in antitrust and protection of competition cases. Our consultants have coped with the concentration mandatory procedure under the Law on Protection of Competition with the Commission for Protection of Competition in connection with one of the pioneer mergers in Bulgaria involving a public listed company, namely the merger of Eurohold Plc. and Starcom Holding Jsc. We have successfully dealt with other cases whereby we have also proved lack-of-concentration environment for other clients, e.g. Siloma Jsc. In addition, we regularly take care of the rights of clients possessing dominant position in view of market share, such as the publishers from Prosveta-Sofia Jsc. Our clients operating through strong distribution channels, as the case is with Vitogaz Bulgaria Jsc., constantly check with us the compliance of distributorship agreements with the mandatory rules and the permitted loyal practices at the relevant markets. We advise clients from various industries while building their business strategies with the intention to avoid acts which may be qualified as prohibited agreements, decisions and concerted practices. In a few cases of unfair competition affecting the interests of our clients – Shell Bulgaria Jsc., Shell Gas Bulgaria Jsc. (at present Vitogaz Bulgaria Jsc.), ING Pension Insurance Company Jsc., Prosveta-Sofia Jsc. – we have addressed the Commission for Protection of Competition. In other cases we have represented clients at the hearings of the Commission where they have been summoned to proceedings pursuant to claims of their competitors.
